Pennsylvania LLC at a Glance
Note: Act 122 of 2022 replaced Pennsylvania's decennial report with an annual report, first due in calendar year 2025. The decennial report has been repealed. LLCs file between January 1 and September 30 each year; corporations file by June 30 and all other associations by December 31. The fee is $7 (nonprofits and not-for-profit LLCs/LPs file at no charge). Beginning with reports due in 2027, failure to file leads to administrative dissolution or termination six months after the deadline. Note that most care and wellness services — including massage therapy, cosmetology and physical therapy — are NOT "restricted professional services" under Pennsylvania law, so an ordinary LLC files the $7 annual report and does not owe the separate per-member Certificate of Annual Registration that applies to restricted professional companies (chiropractic, dentistry, law, medicine and surgery, optometry, osteopathic medicine and surgery, podiatric medicine, public accounting, psychology and veterinary medicine).
